Clear Commercial Terms. Clear Responsibilities. A Hotel-First Partnership.
These Hotel Partner Terms govern the commercial and operational relationship between HotelConnect24, operated by Bigmedia24 Dynamics Ltd., and hotels or accommodation providers accepted to use relevant HotelConnect24 partner services.
The relationship combines channel management, direct booking, distribution and supported connectivity while preserving clear responsibility for the accommodation service itself.
Understand the HotelConnect24 Model Before You Join.
The core software, hotel-controlled direct bookings and HotelConnect24-generated Network bookings are treated as distinct parts of the commercial relationship.
Core Software Fee
The HotelConnect24 core channel-manager proposition carries a €0 HotelConnect24 software fee, subject to the applicable service scope.
HotelConnect24 Commission
HotelConnect24 applies 0% HotelConnect24 commission to qualifying bookings generated through the hotel's own direct booking route.
Qualifying Network Bookings
A 7% HotelConnect24 fee applies to qualifying bookings generated through the HotelConnect24 Network.
Hotel Partner Terms & Conditions.
These Terms apply to accommodation providers accepted into a HotelConnect24 partner relationship unless a separate signed agreement or specific commercial schedule provides additional terms.
Agreement and Scope
These Hotel Partner Terms & Conditions govern the relationship between Bigmedia24 Dynamics Ltd., operator of HotelConnect24, and an accommodation provider accepted to use relevant HotelConnect24 partner services.
By activating or continuing to use a HotelConnect24 hotel-partner service after acceptance, the Partner agrees to these Terms together with any applicable commercial schedule, order, technical documentation, Data Processing Agreement or other written terms incorporated into the relationship.
These Terms are business-to-business terms and are not the Guest Booking Terms applicable to travellers.
Definitions
For these Terms:
- “HotelConnect24” means the HotelConnect24 services operated by Bigmedia24 Dynamics Ltd.
- “Partner” means the hotel or accommodation business accepted into the relevant HotelConnect24 relationship.
- “Property” means an accommodation establishment configured under the Partner account.
- “Guest” means a traveller or other person connected with a reservation.
- “Direct Booking” means a qualifying booking generated through the hotel's own supported direct booking route.
- “HotelConnect24 Network” means a HotelConnect24 distribution or booking opportunity through which qualifying bookings may be generated for participating Properties.
- “Network Booking” means a qualifying reservation attributed to the HotelConnect24 Network under the applicable booking record or commercial rules.
- “External Channel” means a third-party booking, distribution, travel or technology provider.
- “Partner Content” means property information, descriptions, images, rates, policies and other materials supplied by or for the Partner.
A term used in an integration, booking record or commercial schedule can have additional meaning for that specific service.
Registration, Review and Acceptance
Submitting a HotelConnect24 registration form does not automatically create an operational Partner account or guarantee acceptance.
HotelConnect24 may require:
- verification of the Property;
- verification of the applicant's relationship with the Property;
- accurate business and contact information;
- confirmation of relevant authority;
- technical configuration;
- room and rate information;
- acceptance of applicable terms; and
- additional information reasonably required for security, compliance or service configuration.
HotelConnect24 may decline an application where the Property is ineligible, information cannot reasonably be verified, required functionality cannot be supported, legal or security concerns exist, or the proposed relationship does not fit the relevant service.
Acceptance does not guarantee access to every HotelConnect24 feature, channel, integration or Network opportunity.
Authority and Partner Eligibility
The person accepting these Terms for a Partner represents that they have authority to bind the relevant accommodation business.
The Partner must maintain all registrations, licences, permissions and legal authority required to operate the Property and provide the accommodation services offered through connected booking routes.
The Partner is responsible for ensuring that its use of HotelConnect24 complies with laws applicable to the Property and accommodation business.
HotelConnect24 can request reasonable evidence of authority, business identity or Property operation where required for verification or compliance.
HotelConnect24 Services
HotelConnect24 is designed to provide or support hospitality technology and distribution functions including, where available and configured:
- channel management;
- rate and availability management;
- room and rate-plan configuration;
- reservation-management workflows;
- hotel booking-engine functionality;
- website booking functionality;
- direct-booking workflows;
- HotelConnect24 Network distribution opportunities;
- supported external distribution connections;
- hotel dashboards;
- supported APIs, webhooks and integrations; and
- related support and onboarding services.
Available functionality may vary by Property, market, integration, channel and technical configuration.
HotelConnect24 should not be assumed to replace every PMS, payment system, accounting platform, point-of-sale system or other hotel system unless that functionality is expressly provided.
Commercial Model and Fees
The public HotelConnect24 model currently distinguishes between core channel-management software, the Partner's own direct bookings and qualifying HotelConnect24 Network bookings.
| Service | HotelConnect24 Fee | Partner Context |
|---|---|---|
| Core Channel Manager | €0 HotelConnect24 software fee | Subject to applicable service scope and these Terms. |
| Partner's Own Direct Bookings | 0% HotelConnect24 commission | Applies to qualifying bookings through the hotel's own supported direct-booking route. |
| HotelConnect24 Network | 7% | Applies to qualifying HotelConnect24 Network bookings. |
| External Channels | Separate | External providers may apply their own commissions, charges and agreements. |
| Optional Services | As disclosed | Optional services may be subject to separate commercial terms. |
Applicable taxes are handled as required by law. Where a tax must be added to a HotelConnect24 charge, the relevant billing or commercial information should identify it.
The €0 core software proposition does not mean that external channels, payment services, optional technology or all third-party services are free.
HotelConnect24 Network Bookings
Where Network participation is enabled for a Property, HotelConnect24 may create an additional booking opportunity for the Partner.
A 7% HotelConnect24 fee applies to qualifying Network Bookings according to the booking attribution and commercial information applicable to the reservation.
The relevant booking or commercial record should identify the basis on which a HotelConnect24 Network fee is calculated.
Cancellations, refunds and adjustments
The treatment of a Network fee following cancellation, refund, no-show, price adjustment or booking modification depends on the commercial rules applicable to that booking.
HotelConnect24 should make the relevant fee treatment available to the Partner through the applicable booking, billing or commercial information.
Reconciliation
The Partner must maintain records reasonably necessary to identify and reconcile qualifying Network Bookings and should promptly report material discrepancies.
External Distribution Channels
HotelConnect24 can support connections with independent distribution, travel or technology providers.
A Partner's relationship with an External Channel can remain subject to that provider's own:
- commercial agreement;
- commission structure;
- property eligibility rules;
- content requirements;
- payment arrangements;
- cancellation rules;
- technical requirements; and
- other contractual terms.
HotelConnect24 does not waive or replace an External Channel's terms merely by providing technical connectivity.
The Partner remains responsible for understanding and complying with its direct agreements with External Channels.
These Terms alone do not create an exclusivity obligation requiring a Partner to use HotelConnect24 exclusively.
Property Information and Partner Content
The Partner is responsible for ensuring that Property information supplied through HotelConnect24 is accurate, current and not misleading.
This can include:
- Property name and location;
- room types;
- occupancy limits;
- facilities;
- accessibility information;
- images;
- descriptions;
- check-in and check-out information;
- house rules;
- cancellation conditions;
- tax and fee information;
- rate-plan conditions; and
- other information relevant to a Guest's booking decision.
The Partner must have the rights necessary to provide and distribute Partner Content through HotelConnect24.
HotelConnect24 may request correction or temporarily restrict clearly inaccurate, unlawful, unsafe or materially misleading Property information.
Rates, Inventory and Availability
The Partner controls its Property's commercial inventory and is responsible for ensuring that rates and availability supplied through its authorised HotelConnect24 configuration are accurate.
The Partner should:
- maintain accurate room inventory;
- configure room mappings correctly;
- maintain valid rate-plan information;
- apply appropriate stop-sell or availability restrictions;
- review connected-channel configuration;
- correct known errors promptly; and
- avoid knowingly making unavailable inventory bookable.
HotelConnect24 is designed to assist with connected availability but does not guarantee that every overbooking, mapping error, latency event or external-channel inconsistency can be eliminated.
Prices, Taxes, Fees and Guest-Facing Information
The Partner is responsible for supplying accurate guest-facing pricing information within the fields and configuration available to it.
The Partner must identify mandatory property charges, taxes or fees where applicable law or the relevant booking channel requires them to be disclosed.
The Partner is responsible for its own tax obligations relating to the accommodation business and Guest stays unless a specific written arrangement expressly allocates a particular obligation differently.
HotelConnect24 does not provide tax advice to the Partner.
Reservations
The Partner must treat a valid confirmed reservation received through an authorised HotelConnect24 booking or distribution workflow according to the applicable booking conditions.
The Partner should promptly review incoming reservations and notify HotelConnect24 or the relevant booking provider if it becomes aware of a material discrepancy.
A confirmed reservation should not be cancelled, rejected or materially altered by the Partner without a contractual, legal or legitimate operational basis.
The accommodation contract itself can be between the Guest and the Property or another party identified in the applicable booking terms. HotelConnect24 is not automatically the accommodation provider merely because its technology is involved.
Guest Service and Property Responsibilities
The Partner remains responsible for operating the Property and providing the accommodation and guest services that it offers.
The Partner is responsible for matters including:
- providing the booked accommodation;
- Property safety and legal compliance;
- guest check-in and stay operations;
- facilities and services represented to Guests;
- Property-level accessibility information;
- local licences and permits;
- appropriate insurance where required;
- handling Property-specific Guest issues; and
- compliance with accommodation and consumer laws applicable to the Property.
HotelConnect24 provides technology and distribution services and does not operate the Partner's Property.
Cancellations, Refunds and No-Shows
The Partner must apply the cancellation and refund conditions presented to the Guest at the time of booking, subject to applicable law.
The Partner must not apply a cancellation term that materially conflicts with the rate or policy made available through the relevant booking workflow.
Guest cancellation
Where a Guest cancels, the treatment of charges and refunds depends on the applicable booking conditions.
Partner cancellation
Where the Partner cannot honour a valid reservation, the Partner should act promptly and cooperate in resolving the Guest's accommodation issue.
No-show
A no-show may be handled according to the applicable rate, Property policy and booking conditions.
See also Cancellation & Refunds.
Overbooking and Inventory Conflicts
HotelConnect24 is designed to reduce manual distribution inconsistency by connecting supported rates and availability, but no connected system can guarantee the elimination of every overbooking scenario.
Where an overbooking or inventory conflict occurs, the parties should identify its cause and cooperate reasonably to minimise Guest impact.
Partner-controlled causes
Where an overbooking results from inaccurate Partner inventory, incorrect mappings, manual changes, Property configuration or another system controlled by the Partner, the Partner remains responsible for addressing the Guest accommodation issue.
External-channel causes
Where an External Channel or connected third-party system causes or contributes to the issue, responsibility can depend on the relevant third-party agreement and technical circumstances.
HotelConnect24 technical issue
Where a material issue is verified as resulting directly from HotelConnect24 technology, HotelConnect24 will investigate and apply the remedies required by the applicable agreement and law.
Payments and Financial Processing
HotelConnect24 should not be assumed to act as the payment processor or merchant of record for every booking.
The payment arrangement for a reservation can vary according to:
- booking route;
- Property configuration;
- external channel;
- payment provider;
- market; and
- applicable commercial terms.
Where the Partner is responsible for collecting payment from the Guest, the Partner must handle that payment in accordance with applicable law and the booking conditions.
Where a separate payment provider is involved, that provider can apply its own terms, processing fees and compliance requirements.
HotelConnect24 Network Visibility and Ranking
Participation in the HotelConnect24 Network does not create a contractual right to a particular search position, visibility level, booking volume or distribution priority.
A Guest's search can naturally be affected by criteria such as destination, requested dates, occupancy requirements, availability and other search or eligibility conditions.
Where HotelConnect24 introduces or operates ranking within an online intermediation service and applicable law requires disclosure of the main parameters determining ranking and their relative importance, HotelConnect24 will make the required information available through these Terms or relevant Partner documentation.
Integrations, APIs and Connected Systems
Where the Partner connects HotelConnect24 to a PMS, booking engine, distribution channel or other technology, the Partner is responsible for ensuring that it is authorised to establish the connection.
The Partner must protect integration credentials and must not expose private tokens, API keys or passwords to unauthorised parties.
HotelConnect24 can impose reasonable technical requirements including:
- authentication controls;
- rate limits;
- supported data formats;
- webhook requirements;
- mapping rules;
- security requirements; and
- technical maintenance procedures.
A specific integration is available only where HotelConnect24 actually supports or has implemented the relevant connection.
Guest Data and Data Protection
The Partner and HotelConnect24 must comply with applicable data-protection law in relation to personal data each party processes.
The legal role of each party depends on the actual processing activity. In some situations the Partner and HotelConnect24 can each act as independent controllers for their respective purposes.
Where HotelConnect24 processes personal data solely on documented instructions from the Partner as a processor, the applicable processing must be governed by the HotelConnect24 Data Processing Agreement or another legally compliant processing agreement.
The Partner must only access and use Guest data for legitimate purposes connected with the reservation, stay, legal obligations or another appropriate lawful purpose.
Guest information must not be used for unrelated marketing merely because it became available through a booking unless the Partner has the required lawful basis and complies with applicable marketing rules.
See: Privacy Policy, Data Protection and Data Processing Agreement.
Account and Platform Security
The Partner is responsible for controlling access by its staff and authorised users.
The Partner must:
- protect passwords and authentication credentials;
- use accounts only for authorised purposes;
- remove access for users who no longer require it;
- avoid sharing individual credentials unnecessarily;
- report suspected account compromise;
- protect API and integration secrets; and
- follow reasonable HotelConnect24 security instructions.
HotelConnect24 may temporarily restrict an account or connection where reasonably necessary to investigate a security incident or protect HotelConnect24, the Partner, Guests or connected systems.
Partner Content and Intellectual Property
The Partner retains ownership of intellectual-property rights it otherwise holds in Partner Content.
The Partner grants HotelConnect24 a non-exclusive licence to host, store, process, reproduce, technically adapt, transmit and display Partner Content to the extent reasonably necessary to:
- operate HotelConnect24;
- display the Property;
- distribute hotel information through enabled channels;
- support bookings;
- provide relevant Partner services; and
- promote the Property through HotelConnect24 distribution routes enabled for the Partner.
The Partner represents that it has the rights necessary to provide images, descriptions, trademarks and other Partner Content used through HotelConnect24.
HotelConnect24 retains rights in its own software, interfaces, documentation, branding and technology.
Legal and Regulatory Compliance
The Partner is responsible for complying with laws applicable to its Property and accommodation business.
Depending on the Property and jurisdiction, this can include laws relating to:
- accommodation licensing;
- tourism registration;
- health and safety;
- fire safety;
- consumer protection;
- taxation;
- pricing transparency;
- accessibility;
- employment;
- data protection;
- electronic marketing; and
- other local business requirements.
HotelConnect24 can request reasonable corrective action where use of the platform creates a material legal or compliance concern.
Support, Maintenance and Service Reliability
HotelConnect24 may provide onboarding, self-service resources and support routes appropriate to the relevant service.
These Terms do not create a universal 24/7 support, response-time, resolution-time or uptime commitment.
Any specific service-level commitment must be expressly stated in an applicable written agreement.
HotelConnect24 may carry out planned or emergency maintenance and may make technical changes reasonably required for:
- security;
- reliability;
- legal compliance;
- bug fixes;
- integration changes;
- infrastructure maintenance; and
- platform development.
See Service Reliability and Support.
Restrictions, Suspension and Removal
HotelConnect24 may restrict functionality, disconnect an integration, suspend a Property or suspend a Partner account where reasonably necessary and permitted by applicable law or contract.
Grounds can include:
- material breach of these Terms;
- fraud or suspected fraudulent activity;
- materially inaccurate or misleading Property information;
- repeated failure to honour valid reservations;
- serious security concerns;
- unauthorised access or credential misuse;
- unlawful activity;
- technical behaviour that materially threatens system stability;
- non-compliance with legally required obligations;
- failure to pay amounts properly due under an applicable paid service; or
- a legal or regulatory requirement.
Where appropriate and legally required, HotelConnect24 will provide the Partner with reasons, notice or an opportunity to correct the issue.
Immediate restriction may be necessary where delay would create a material security, fraud, legal or Guest-protection risk.
Termination of the Partner Relationship
Termination rights and notice periods stated in an applicable signed agreement or commercial schedule apply to that relationship.
Where no separate termination period has been agreed, either party may request termination of the ongoing relationship by written notice, subject to:
- existing confirmed reservations;
- amounts already due;
- data-retention obligations;
- security and legal requirements;
- reasonable technical offboarding; and
- rights or obligations intended to survive termination.
Termination does not automatically cancel existing Guest reservations. The parties must cooperate appropriately in relation to outstanding bookings.
A Partner remains responsible for amounts properly due in relation to activity occurring before termination.
Where applicable law imposes additional notice or statement-of-reasons requirements for termination of an online intermediation service, HotelConnect24 will comply with those requirements.
Changes to These Partner Terms
HotelConnect24 may update these Terms where reasonably necessary because of:
- changes to services;
- new technology;
- security requirements;
- new distribution models;
- legal or regulatory changes;
- changes to external dependencies; or
- clarification of existing provisions.
Material changes affecting an existing Partner relationship will be communicated in accordance with the applicable agreement and any mandatory notice requirements.
Where legislation governing online intermediation requires a specific notice period or durable-medium notice for changes, the applicable statutory requirements will be followed.
Changes will not apply retroactively where doing so would violate applicable law.
Commercial and Service Disclaimers
HotelConnect24 provides technology, connectivity and distribution opportunities. Commercial results depend on factors that HotelConnect24 does not fully control.
HotelConnect24 does not guarantee:
- additional bookings;
- a minimum booking volume;
- a particular occupancy level;
- increased revenue;
- direct-booking growth;
- lower total distribution cost;
- a particular Network position;
- availability of every distribution channel;
- compatibility with every hotel system;
- elimination of all overbooking scenarios; or
- uninterrupted operation of independent third-party systems.
Performance depends on factors including destination demand, Property quality, rates, availability, Guest experience, website quality, distribution strategy and technical configuration.
Liability
Nothing in these Terms excludes or limits liability where exclusion or limitation would be unlawful.
To the extent permitted by applicable law, neither party is liable to the other for indirect or consequential losses that were not a reasonably foreseeable direct result of the relevant breach.
HotelConnect24 is not responsible for losses caused solely by:
- incorrect information supplied by the Partner;
- Partner-controlled room or rate configuration;
- unauthorised Partner account use resulting from Partner credential failures;
- independent third-party systems;
- External Channel decisions;
- internet or telecommunications failures outside HotelConnect24's reasonable control; or
- the Partner's failure to comply with applicable law or booking obligations.
Any specific contractual liability cap stated in a signed commercial agreement or service schedule applies to that service.
These Terms do not exclude liability for fraud, fraudulent misrepresentation, wilful misconduct or any other liability that applicable law does not permit to be excluded.
Responsibility for Third-Party Claims
Each party is responsible for claims, costs or liabilities arising from its own breach, unlawful conduct or failure to perform obligations for which it is responsible.
The Partner is responsible, to the extent attributable to the Partner, for third-party claims arising from matters such as:
- operation of the Property;
- failure to provide booked accommodation;
- unlawful or misleading Partner Content;
- Property safety or legal compliance;
- taxes for which the Partner is responsible;
- infringement caused by Partner Content; or
- the Partner's misuse of Guest data.
HotelConnect24 remains responsible for claims to the extent they arise from HotelConnect24's own breach or unlawful conduct.
Events Outside Reasonable Control
Neither party will be treated as responsible for a failure or delay caused solely by an event genuinely outside its reasonable control, to the extent permitted by applicable law.
Examples can include:
- major telecommunications outages;
- large-scale infrastructure failures;
- natural disasters;
- war or civil disturbance;
- government action;
- major third-party network failure; or
- other comparable events beyond reasonable control.
The affected party should take reasonable steps to reduce the impact and resume performance when reasonably possible.
Existing Guest-protection and legal obligations remain subject to applicable law despite such an event.
Business Complaints, Restrictions and Redress
A Partner with a commercial, technical or account-related concern should first use the appropriate HotelConnect24 support or contact route.
Where HotelConnect24 is legally required to operate an internal business-user complaint process in relation to an online intermediation service, the required process and information will be made available to affected Partners.
Where applicable law requires HotelConnect24 to identify mediators or another dispute-resolution route for eligible business-user disputes, the required information will be provided through the relevant Partner documentation.
Nothing in this section prevents either party from exercising legal rights available under applicable law.
Confidential Information
Each party may receive non-public commercial, technical or operational information belonging to the other.
A receiving party should:
- use confidential information only for the relevant business relationship;
- protect it with reasonable care;
- limit access to persons who reasonably need it;
- not disclose it unnecessarily to third parties; and
- comply with legal restrictions applicable to the information.
Confidentiality obligations do not apply to information that is lawfully public, independently developed, already lawfully known, or required to be disclosed by law or competent authority.
Authentication credentials and private API keys must always be handled as sensitive security information.
General Contract Provisions
Relationship of the parties
The Partner and Bigmedia24 Dynamics Ltd. are independent contracting businesses. These Terms do not create an employment relationship, general partnership, fiduciary relationship or authority for one party to bind the other except where expressly agreed.
No exclusivity
These Terms alone do not impose exclusivity. Any exclusivity obligation would need to be expressly agreed in writing.
Assignment
Neither party should transfer material rights or obligations in a way that unlawfully prejudices the other party. Any specific assignment rights in a signed agreement take precedence.
Severability
If a provision is invalid or unenforceable, the remaining provisions continue to apply to the extent legally possible.
No waiver
Failure to enforce a provision on one occasion does not automatically waive the right to enforce it later.
Entire agreement
These Terms together with applicable schedules, accepted written commercial terms, the DPA where applicable and service-specific agreements form the contractual framework for the relevant Partner service.
Governing law
Unless a different written agreement provides otherwise, these Hotel Partner Terms are governed by the laws of Ireland.
Subject to mandatory applicable law and any agreed dispute-resolution process, the courts of Ireland have jurisdiction over business disputes arising from these Terms.
